These terms govern your access to and use of Docen's website, API, and services.
Acceptance of these terms
These Terms of Use ("Terms") are an agreement between you and Docen Inc. ("Docen"). By accessing our website, API, or other services (the "Service"), you agree to these Terms. If you are using the Service for an organization, you represent that you are authorized to accept these Terms on its behalf.
The Service
Docen provides document intelligence tools, including parsing, recognition, layout analysis, and structured extraction, offered through our website, API, and deployable software. We may add, change, or remove features over time.
Accounts
You are responsible for the accuracy of your account information, for keeping your credentials and API keys secure, and for all activity that occurs under your account. Notify us promptly if you believe your account has been compromised.
Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or the rights of others.
- Submit content you do not have the right to process.
- Attempt to disrupt, reverse the models behind, or gain unauthorized access to the Service.
- Resell or provide the Service in a way that competes with Docen without a written agreement.
- Use the Service to build a competing document intelligence model from our outputs.
Intellectual property
The Service, including our software, models, and brand, is owned by Docen and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights in the Service except the limited right to use it as described here.
Your content
You retain all rights to the documents and files you submit and to the outputs generated from them. You grant Docen the limited license needed to process your content and deliver results to you, as described in our data use policy.
Fees and billing
Paid plans are billed based on usage and the plan you select. Fees are stated exclusive of taxes unless noted. Except where required by law, payments are non-refundable. We may change pricing on a going-forward basis with reasonable notice.
Disclaimers
The Service is provided on an "as is" and "as available" basis. Document intelligence is probabilistic, and outputs may contain errors. You are responsible for checking outputs before relying on them for consequential decisions. To the fullest extent permitted by law, Docen disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Docen will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits or data. Our total liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
Indemnification
You agree to indemnify and hold Docen harmless from claims, losses, and expenses arising out of your content, your use of the Service, or your violation of these Terms, to the extent permitted by law.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if needed to protect the Service or other users. Provisions that by their nature should survive termination will survive.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute that is not subject to arbitration or small-claims resolution.
Changes to these terms
We may update these Terms from time to time. We will update the date above and, for material changes, provide additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.
